1. These terms
These Terms of Use (“Terms”) are the contract between you and Unique Erudition Oy, Business ID 3584630-5, Limonadikuja 1 C 72, 00390 Helsinki, Finland (“Uniqer”, “we”, “us”). They apply to the Uniqer website, app, waitlist, memberships, and related services (together, the “Service”).
By using the Service, creating an account, joining the waitlist, or buying a membership, you agree to these Terms. If you do not agree, do not use the Service.
How we use personal data is explained in our Privacy Policy. If these Terms and the Privacy Policy overlap on a data-protection point, the Privacy Policy prevails for that point.
If you use Uniqer as a consumer, nothing in these Terms limits rights you have under Finnish or EU consumer law that cannot be waived. If you use Uniqer for a business or organisation, you confirm that you are authorised to bind that organisation.
2. Eligibility and accounts
Only a person aged 18 or over may create a Uniqer account or purchase a membership. You must provide accurate account details and keep them up to date. You are responsible for activity on your account and for keeping your login details confidential. Tell us promptly if you believe the account has been misused.
We may refuse, suspend, or close an account where reasonably necessary to protect the Service, other users, or our legal obligations—for example where information is false, these Terms are broken, or we cannot verify that an adult is authorised to manage a child profile.
A child does not receive a separate login email or password. Access to a child profile is through the adult account holder.
3. Children and managed profiles
Uniqer is designed for football players, including young people, but the contracting party is always the adult account holder. Buying a membership through an app store, our website, or another digital channel does not by itself prove parental responsibility or authorise use of a child’s profile.
If you create a managed child profile, you confirm that you hold parental responsibility for that child or are otherwise legally authorised to act for them, and that you have authority to agree to these Terms on the child’s behalf for use of the Service. You are responsible for the child’s use of Uniqer, including content they create or upload through the profile and the privacy and sharing settings you choose.
Child profiles are private by default. You control optional social features, challenges, video uploads, and visibility. You must not enable features or share a child’s content in a way that is inappropriate for their age or contrary to the child’s best interests.
If you believe a child profile was created without appropriate authority, contact us so we can suspend it, investigate, and, where appropriate, delete it.
4. The Uniqer service
Uniqer provides personalised football training tools. Depending on your membership and settings, this may include player profiling, generated training sessions, a library of exercises, Game IQ and learning materials, quizzes, progress tracking, UQ and skill scores, achievements, reminders, friend connections, challenges, and related support.
We may add, change, or withdraw features, and we may offer the Service in limited preview, waitlist, or beta form. We do not promise that every feature described on the website will be available in every country, on every device, or at every membership tier, or that the Service will be uninterrupted or error-free.
Joining the waitlist or mailing list is optional. It does not guarantee access, a particular launch date, or a particular price. You can unsubscribe at any time.
5. Memberships, payments, and cancellation
Plans and prices
Paid access is offered as a membership. The memberships we offer, what each includes, the price, applicable taxes, and the billing period will be shown at the time of purchase. We may offer personal memberships, memberships that cover more than one player, organisation or other group memberships, and other paid options, on recurring or one-off terms, as displayed at checkout or in the relevant store.
We retain the right to change, add, or withdraw plans and to change our pricing models, prices, billing intervals, and what a plan includes. A change does not affect a period you have already paid for. If a change applies to a renewal or to an existing paid membership, we will give reasonable notice. You may cancel before the change takes effect if you do not wish to continue on the new terms.
How you pay
You may buy a membership through an app store (such as Apple or Google), on our website, or through other digital channels. We use external payment providers to process or validate purchases and to manage membership status across these channels.
If you buy through Apple, Google, or another store, that store processes the payment. The store’s terms also apply to billing, renewal, refunds, and cancellation in the store. Manage or cancel a store subscription through your store account.
If you buy on our website or another digital channel, payment is processed through external payment providers. Manage or cancel that membership through your Uniqer account or the method shown at purchase. Refunds for those purchases follow applicable law, including the consumer withdrawal rights below, and any process shown at purchase. Store purchases continue to follow the relevant store’s refund rules.
Auto-renewal
Memberships renew automatically at the end of each billing period unless you cancel before the renewal date in the way described at purchase, in the relevant store, or in your Uniqer account. Cancellation stops the next renewal. You keep access until the end of the period already paid for, unless a store or mandatory law requires otherwise.
Consumer withdrawal
If you are a consumer in the EU/EEA and buy a membership at a distance, you may have a 14-day right of withdrawal. That right may not apply where you ask us to start supplying digital content or a digital service during the withdrawal period, give the prior express consent required by law, and acknowledge that you then lose the withdrawal right. We will present that information clearly at checkout. Statutory rights for faulty digital content or services remain available.
Shared and organisation memberships
If a membership covers more than one player or user, it may only be used by the people you are authorised to cover under that membership. You remain responsible for their compliance with these Terms. Access must not be shared beyond what the membership allows.
6. Our intellectual property
What Uniqer owns
The Service and all intellectual property rights in it are owned by Unique Erudition Oy or our licensors. This includes, without limitation:
- the Uniqer website, app, software, source code, APIs, user interface, design, and look and feel;
- the training generator, personalisation logic, constraints-led exercise design, and other methods implemented in the Service;
- exercise descriptions, instructions, media, coaching scripts, Game IQ materials, quizzes, and other training or learning content, including our library of professionally designed exercises;
- the UQ Score and related scoring, progression, recommendation, achievement, and leaderboard systems, including their structure, methodology, and output formats;
- databases and compilations of exercises, profiles, and related content, including any sui generis database rights;
- names, logos, word marks, slogans, and brand elements, including UNIQER, Unique Erudition, UQ, and associated graphics; and
- documentation, marketing materials, and other content we publish, except User Content as defined below.
All rights not expressly granted to you in these Terms are reserved. No title or ownership in Uniqer intellectual property is transferred to you.
Your licence to use Uniqer
While your account and, where required, membership are in good standing, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Service for your own football training, or, where your membership covers more than one player, for the authorised players covered by that membership. A child using a managed profile uses the Service under the adult account holder’s licence.
You may use generated sessions, scores, and in-app materials only as the Service presents them, for personal training or for players authorised under your membership. You may share your own progress, achievements, or scores in a personal, non-commercial way that does not copy our exercise library, training media, or other protected content.
What you may not do
Except as allowed by mandatory law or a separate written licence from us, you must not:
- copy, reproduce, adapt, translate, modify, publicly display, perform, distribute, sell, rent, or otherwise exploit Uniqer content or software;
- extract, scrape, crawl, harvest, or systematically download the exercise library, Game IQ materials, or other Uniqer content;
- use Uniqer content, data, or output to train, develop, or improve a machine-learning or artificial-intelligence model, or to build a competing training product;
- reverse engineer, decompile, or attempt to derive source code from the Service, except where that restriction is prohibited by law;
- remove, obscure, or alter copyright, trademark, or other proprietary notices;
- frame, mirror, or commercially exploit the Service or present it as your own; or
- use Uniqer names, logos, or other brand elements without our prior written consent, except for accurate, non-misleading references to the Service.
Generated sessions, scores, and achievements
Personalised sessions, UQ and skill scores, recommendations, and achievements are produced by Uniqer’s systems. We own the underlying content, methods, and rights in those outputs. Your licence is to use them inside the Service and for your own training. They are not a certification, selection decision, or professional coaching qualification, and they do not confer any right in our methods or brand.
Trademarks
UNIQER, Unique Erudition, UQ, and related logos and graphics are unregistered trademarks or distinctive signs of Unique Erudition Oy. Other names mentioned in the Service may be trademarks of their owners. These Terms do not grant you a trademark licence except as needed to use the Service in the ordinary way.
Reporting intellectual-property infringement
If you believe content on the Service infringes your copyright or other intellectual property, email team@uniqer.net with:
- your name and contact details;
- the work you say is protected and evidence of your rights;
- the location of the material on Uniqer (URL, username, or other identifier); and
- a statement that you believe the use is not authorised.
We will review notices and may remove or restrict content, suspend accounts, or take other action we consider appropriate. Repeat or serious infringement may lead to termination.
7. Your content
You keep ownership
“User Content” means material you or a managed child profile submit to the Service, such as challenge videos (which may include image and voice), journal notes, feedback, messages, profile text, and similar uploads. You retain any intellectual property rights you have in User Content.
Licence you grant us
You grant Unique Erudition Oy a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, adapt (for technical formats), display, and otherwise process User Content solely as needed to:
- provide the Service features you use, including challenges, support, and dispute review;
- show User Content to other users only where you (or, for a child profile, the adult account holder) have enabled that sharing;
- moderate, secure, back up, and improve the Service; and
- create aggregated or de-identified insights that do not identify you or the child.
This licence lasts for as long as the User Content remains on the Service and for a limited additional period needed for backups, security, disputes, or legal obligations. It is sublicensable only to our service providers acting for us. We will not use a child’s challenge video or similar media for advertising without a separate, specific authorisation from the adult account holder.
To the extent Finnish copyright law allows, you consent to our using User Content as described above even where the Service does not display an author credit. This does not waive moral rights beyond what Finnish law permits.
Child profiles
If User Content is created through a child profile, the adult account holder grants the licence above and confirms they have the right to do so, including any consent needed from the child considering the child’s age and maturity. Upload and sharing features for a child profile require the adult’s approval as described in the Privacy Policy.
Your promises
You confirm that you have the rights needed to submit User Content and grant the licence above; that the content does not infringe anyone else’s intellectual property, privacy, publicity, or other rights; and that it complies with these Terms and applicable law. You are responsible for User Content submitted from your account, including content from a managed child profile.
Feedback
If you send ideas, suggestions, or other feedback about Uniqer, you grant us a free, perpetual, irrevocable licence to use that feedback to operate and improve the Service without obligation to you. Feedback must not include confidential information you do not intend us to use.
Removal
You may delete User Content using the tools we provide, or request deletion as described in the Privacy Policy. We may remove User Content that we reasonably believe breaches these Terms, law, or another person’s rights, or that creates a safety, privacy, or operational risk. Copies may remain in backups for a limited period.
8. Acceptable use
You must use the Service lawfully and in a way that is fair to other users, especially children. You must not:
- harass, bully, threaten, or exploit another person, or post sexual, violent, hateful, or otherwise harmful content;
- impersonate anyone, misrepresent your identity or authority, or create a child profile without legal authority;
- upload malware or attempt to gain unauthorised access to the Service, other accounts, or our systems;
- interfere with the Service, probe or overload our infrastructure, or bypass security or access controls;
- use automated means to access the Service except ordinary browsers or our published app;
- use Uniqer to send spam or unsolicited marketing, or to collect other users’ data without their permission; or
- use the Service for any commercial purpose other than as allowed by a multi-user or organisation membership you have purchased, unless we agree in writing.
We may moderate challenges, comments, and other interactions, but we do not undertake to review all User Content in advance. Report concern to team@uniqer.net.
9. Training, health, and results
Uniqer provides educational training content and tools. It is not medical advice, physiotherapy, professional coaching in person, or a substitute for a qualified coach, teacher, or healthcare professional. You (and, for a child profile, the adult account holder) are responsible for deciding whether a session is suitable, for using a safe environment and appropriate equipment, and for stopping if pain, injury, or illness occurs.
Consult a doctor or other suitable professional before starting or changing training, especially if the player has an injury, disability, health condition, or is a child. Selecting “Para athlete” or similar profile information is for personalisation only and is not a clinical assessment.
Football training involves inherent risk of injury. To the extent permitted by law, you accept that risk when you use the Service. We do not guarantee particular performance, selection, or competitive outcomes. UQ scores, skill progression, and recommendations are informational and do not produce legal or similarly significant decisions about you.
10. Third-party services
The Service may link to or rely on third parties, including app stores, Paperform, payment and membership providers, hosting, email, analytics, and social platforms. Those services are governed by their own terms and privacy notices. We are not responsible for third-party content or services except as mandatory law requires.
If you enable device permissions (for example camera or notifications), the relevant platform’s rules also apply. You can usually change those permissions in your device settings, which may limit related Uniqer features.
11. Suspension and termination
You may stop using the Service and close your account at any time. Closing the account ends your licence to use Uniqer content. Paid time already purchased is handled as described in section 5 and by the relevant store.
We may suspend or end access, with notice where reasonable, if you materially breach these Terms, if we must do so by law, or if we discontinue the Service. We may end a waitlist or preview offering at any time. After termination we may delete or anonymise account data as described in the Privacy Policy, subject to legal retention needs.
12. Liability
We provide the Service with reasonable care and skill. We do not exclude or limit liability that cannot be excluded under applicable law, including liability for death or personal injury caused by our negligence, for intent or gross negligence, or for other liability that Finnish or EU law does not allow us to limit.
If you are a consumer, you keep all mandatory statutory rights, including rights relating to digital content and digital services. These Terms do not reduce those rights.
Subject to the paragraphs above, we are not liable for:
- loss that was not reasonably foreseeable;
- loss caused by your breach of these Terms, unsafe training, or failure to follow instructions or health warnings;
- failures of third-party platforms, stores, networks, or devices; or
- indirect loss such as lost profit, lost opportunity, or loss of data, except where mandatory law says otherwise.
If you use Uniqer for a business, then—again subject to mandatory law—our total liability arising from the Service is limited to the membership fees you paid us for the Service in the 12 months before the claim, or EUR 100 if you have paid nothing, and we are not liable for lost profits, goodwill, or other indirect or consequential loss.
13. Changes
We may update these Terms when the Service, the law, or our business changes. The latest version will show its effective date at the top. For a material change that affects an existing paid membership, we will give reasonable notice. If you do not agree to the updated Terms, you should stop using the Service and cancel any membership. Continued use after the effective date means you accept the updated Terms, except where mandatory consumer law requires a different process.
14. Governing law and disputes
These Terms are governed by the laws of Finland, without prejudice to mandatory consumer protections in the country where you live.
If you are a consumer in the EU/EEA, you may bring proceedings in the courts of Finland or in the courts of the country where you live. You may also contact the Finnish Consumer Advisory Services or, where eligible, the Consumer Disputes Board (kuluttajariita.fi). The European Commission’s online dispute resolution platform is available, although we are not obliged to use a particular alternative-dispute body unless the law requires it.
If you use Uniqer other than as a consumer, the courts of Helsinki, Finland have exclusive jurisdiction, except that we may seek injunctive or equivalent relief in any jurisdiction to protect our intellectual property or the Service.
If a court finds any part of these Terms unenforceable, the rest remains in effect. We may assign these Terms in connection with a reorganisation or sale of our business. You may not assign them without our consent. These Terms are the entire agreement for use of the Service and replace earlier versions.
